An overview of key updates regarding the registration of changes in the Business Register from 1 January 2025.
As we previously informed in the article Faster Incorporation of an Ltd. from 1 November 2023, since November 2023, it has been possible to submit an application for the incorporation of a limited liability company (Ltd.) through a notary. The main advantage of this registration method is the speed of the entire process. Unlike court registration, where applications can only be submitted to the registry court based on the company’s registered office, entrepreneurs opting for notary registration can choose any notary, regardless of the company’s registered office.
From 1 January 2025, under Decree No. 389/2023 Coll. of the Ministry of Justice of the Slovak Republic on the registration of data in the Business Register by the registrar, notaries will also be authorized to provide additional services related to the registration of data and changes to registered data of business entities in the Business Register, as well as the deletion of registered data from the Business Register. If you need to register changes as soon as possible, we recommend taking advantage of this option starting from 1 January 2025.
Who is responsible for reporting changes and what is the deadline?
If any changes occur in your Ltd. that must be registered in the Business Register, the managing director (executive) is responsible for reporting them. The managing director is obliged to submit an application for the registration of changes within thirty days. This period starts on the day following the date stated in the resolution of the general meeting of the company or the date on which the legal event causing the change took effect. It is important to note that the changes do not have to be officially recorded in the Business Register within this thirty-day period. It is sufficient for the managing director to submit the application for registration within this timeframe.
What are the most common changes registered in the Business Register?
- Change of the company's business name or registered office
- Extension of business activities to include new fields
- Change of the company's managing director
- Change of the company’s shareholder
- Change of personal details of managing directors and shareholders
For each of these changes, it is necessary to submit various supporting documents along with the application for registration, as required by Decree No. 25/2004 Coll. of the Ministry of Justice of the Slovak Republic. We are happy to assist you in preparing these documents.
As of 1 April 2024, a court fee of €50 applies to any amendment or addition of data related to a single registered person in the Business Register. Since this fee covers any number of changes within one application, it is advisable to carefully plan all necessary changes to submit them in a single application.
